2. Each listing shall mean: one to three photographs,
various required information as shown on posting fields and approximately
fifty words in an optional field .
3. All pictures must be sized to maximum of 240
pixels wide.
4. The Advertiser agrees to abide to the highest
business, moral, and ethical standards in supplying information,
pictures, etc., onto the Site and accepts full responsibility for
all information thereon. Advertiser assumes, all liability for the
content (including text, photographs, and illustrations) and agrees
to defend, indemnify and hold OfficeGuide.com harmless against any
and all damages, expenses and claims, suits, actions, or proceedings
and reasonable billing fees resulting from the displaying of any
materials submitted to OfficeGuide.com by the Advertiser. In addition
pictures must be of Real Estate (Commercial buildings, property
for sale), and said pictures may not contain any information diagrams
of people shown in any immoral, indecent or offensive manner.
5. OfficeGuide.com has the right to delete or
remove any information or images at its sole discretion, without
notice to the Advertiser.
6. Advertisers will not attempt to tamper, alter,
change or modify the database, except when using the screen facilities
that OfficeGuide.com provides, and will not attempt to alter any
of the Site's programming at any time in any manner or form.
7. In areas that allow Advertisers to insert comments,
the word "comment" is understood to mean comments related
specifically to the listings all other comments will be grounds
for immediate cancellation of this contract.
8. The Site is not responsible and will not be
held liable for any losses due to "downtime", program
failure, power outages, equipment failure, of the Advertiser or
of the Internet Site. The Site is not liable for consequential damages
of any kind.
9. Advertiser must notify Site of any problem
or any error in the Site experienced by Advertiser immediately when
detected.
10. Advertiser represents and warrants that all
consents required by law have been or will be obtained prior to
posting.
11. Terms are cash in advance. OfficeGuide.com
reserves the right to cancel a contract if not paid in the prescribed
manner.
12. Advertiser shall pay all amounts shown as
owed on the statement within fifteen days of the statement date.
Any dispute regarding any item shown on the statement is waived
by Advertiser unless made within 30 days after invoice date.
13. Advertiser agrees that the Site will have
the right to charge Advertiser interest on any amounts that are
not paid when due under the terms of this contract. Interest rate
is the maximum permitted by law from the date such amount is due
until the day of payment, and cost of collection, including attorneys'
fees. The ability to collect interest and cost should not affect
Site's right to cancel for non-payment.
14. Advertisers not fulfilling contract commitments
shall be charged for the full contract term.
15. Site reserves the right to terminate this
contract effective on written notice to Advertiser if Advertiser
is delinquent in the payment of any amount owed the Site, or if
Advertiser does not respond in a timely manner to complaints by
viewers of the Site if such complaints have been forwarded to advertisers
by the Site.
16. Site reserve the right to change the advertising
rate and other terms and conditions at any time upon 30-days' notice
in writing. Advertiser shall have the right to terminate this contract
on the date of such changes if such change is not acceptable and
the Advertiser modifies the site within the 30-day period.
17. The Site has the right to reproduce all or
any pictures and information in any form, medium, etc., for use
in promoting and advertising the Site.
18. Contracts are not transferable by the Advertiser
in whole or in part.
19. This contract shall be governed by the laws
of the province of Ontario, Canada.
20. This contract shall be deemed to be entered
into and performed in the County of York where the principal office
of OfficeGuide.com is located, and such County shall be the forum
of any legal action relating to this contract.
21. Advertiser must either flag listings as sold,
or remove them from the site within 3 days of closing.
22. This contract shall not be binding on OfficeGuide.com,
until approved by a corporate officer.
